Chapter I General Provisions


Article 1 The name of this organization is: China Yuanmingyuan Society, English name: YuanMingYuan Society China, abbreviation: YMYSC.


Article 2 This organization is an academic, national, non-profit social organization voluntarily formed by enterprises, social groups engaged in researching and protecting the Old Summer Palace (Yuanmingyuan) and developing its culture, as well as experts and scholars in architecture, landscape architecture, history, cultural relics, and art.


Article 3 The purpose of this organization:

To comply with the Constitution, laws, regulations, and national policies, practice socialist core values, observe social ethics, and consciously strengthen integrity and self-discipline. Actively promote China's socialist material and spiritual civilization construction, meet the growing cultural and tourism needs of the people; deeply research and explore the unique historical relics, garden architecture, cultural arts, science and technology, economic and tourism values of the Old Summer Palace, serving the current society, providing consultation, planning and design, protection, restoration, and utilization services for the Old Summer Palace ruins and other historical sites, national and local key projects; actively expand publicity, exhibitions, and displays, widely conduct popular science lectures, enabling more people, especially youth, to love and inherit Chinese culture; utilize expert advantages to vigorously cultivate professional talents in traditional culture-related fields such as garden and ancient architecture; promote the construction of the Old Summer Palace ruins as a patriotic education base, royal garden research and exhibition base, world cultural heritage site, and special memorial site of human civilization.


Article 4 This organization accepts the business guidance and supervision of the registration authority, the Ministry of Civil Affairs of the People's Republic of China, and the competent business department, the Ministry of Culture and Tourism. According to the regulations of the Chinese Communist Party, it establishes a Chinese Communist Party organization, carries out party activities, and provides necessary conditions for party organizational activities.


Article 5 The address of this organization: First Floor East, Building 7, No. 1 Jiaotong University Road, Haidian District, Beijing.


Chapter II Business Scope


Article 6 The business scope of this organization:


(1) Research and promote the historical and cultural value of the Old Summer Palace, promote the Chinese national spirit, inherit the culture of the Old Summer Palace, and build the Old Summer Palace ruins into a patriotic education base and special memorial site of human civilization;


(2) Conduct scientific and cultural research on the Old Summer Palace and related fields, organize domestic and international academic exchange activities;


(3) Carry out research and related work on collecting historical materials of the Old Summer Palace and the return of lost cultural relics;


(4) Organize annual meetings and academic seminars, edit and publish academic journals and produce related audio-visual materials in accordance with relevant regulations;


(5) Provide academic support and consulting services for the protection planning, restoration, and utilization of the Old Summer Palace ruins;


Organize popular science training, consultation, and lectures within the scope of the purpose, and organize exhibitions and performances as entrusted by relevant government departments or according to the needs of disciplinary development.


Business activities that require approval according to laws, regulations, and rules shall be carried out after obtaining approval in accordance with the law.


Chapter III Members


Article 7 Types of members in this organization: individual members and institutional members.


Article 8 Members applying to join this organization must meet the following conditions:


(1) Support the constitution of this organization;


(2) Have the intention to join this organization;


(3) Have certain influence in the business (industry, discipline) field of this organization;


Article 9 The procedure for membership is:


(1) Submit a membership application;


(2) Be approved by the council through discussion;


(3) During the council's recess, be approved by the standing council.


(4) Receive a membership certificate issued by the council or an institution authorized by the council.


Article 10 Members enjoy the following rights:


(1) The right to vote, be elected, and make decisions in this organization;


(2) The right to participate in the activities of this organization;


(3) Priority in receiving services from this organization;


(4) The right to criticize, suggest, and supervise the work of this organization;


(5) Freedom to join and withdraw voluntarily.


Article 11 Members shall fulfill the following obligations:


(1) Implement the resolutions of this organization;


(2) Safeguard the legitimate rights and interests of this organization;


(3) Complete the work assigned by this organization;


(4) Pay membership fees as required;


(5) Report situations and provide relevant materials to this organization.


Article 12 Members shall notify this organization in writing when withdrawing and return their membership certificates. Members who do not pay membership fees or participate in the activities of this organization for one year shall be considered as automatically withdrawn.


Article 13 Members who seriously violate this constitution shall be expelled after being voted through by the council or standing council.


Chapter IV Organizational Structure and Appointment/Dismissal of Leaders


Article 14 The highest authority of this organization is the membership congress, whose functions and powers are:


(1) Formulate and amend the constitution;


(2) Elect and dismiss council members;


(3) Review the work reports and financial reports of the council;


(4) Formulate and modify membership fee standards;


(5) Decide on termination matters;


(6) Decide on other major matters.


Article 15 The membership congress must be attended by more than 2/3 of the member representatives to be held, and its resolutions must be passed by more than half of the attending member representatives to take effect.


Article 16 The term of the membership congress is 5 years. If early or delayed transition is needed due to special circumstances, it must be voted through by the council, reviewed by the competent business department, and approved by the social organization registration authority. However, the delay shall not exceed 1 year.


Article 17 The council is the executive body of the membership congress, leading the daily work of this organization during recess, and is responsible to the membership congress.


Article 18 The functions and powers of the council are:


(1) Implement the resolutions of the membership congress;


(2) Elect and dismiss the president, vice presidents, and secretary general; elect and dismiss standing council members;


(3) Prepare for the membership congress;


(4) Report work and financial status to the membership congress;


(5) Decide on the admission or expulsion of members;


(6) Decide on the establishment of administrative offices, branches, representative offices, and entities;


(7) Decide on the appointment of deputy secretaries general and principal leaders of various institutions;


(8) Lead the work of various institutions of this organization;


(9) Formulate internal management systems;


(10) May supplement council members, but not exceeding 1/3 of the total number of council members;


(11) Decide on other major matters.


Article 19 The council must be attended by more than 2/3 of the council members to be held, and its resolutions must be passed by more than 2/3 of the attending council members to take effect.


Article 20 The council shall meet at least once a year. In special circumstances, meetings may be held through correspondence.


Article 21 This organization establishes a standing council. The standing council is elected by the council and exercises the functions and powers of items 1, 3, 5, 6, 7, 8, and 9 of Article 18 during the council's recess, and is responsible to the council (the number of standing council members shall not exceed 1/3 of the total number of council members).


Article 22 The standing council must be attended by more than 2/3 of the standing council members to be held, and its resolutions must be passed by more than 2/3 of the attending standing council members to take effect.


Article 23 The standing council shall meet at least once every six months. In special circumstances, meetings may be held through correspondence.


Article 24 The president, vice presidents, and secretary general of this organization must meet the following conditions:


(1) Adhere to the Party's line, principles, and policies, with good political quality;


(2) Have significant influence in the business field of this organization;


(3) The maximum age for president and vice presidents shall not exceed 70 years;


(4) The maximum age for secretary general shall not exceed 70 years, and the secretary general shall be full-time;


(5) Be in good health and able to work normally;


(6) Have not been subject to criminal punishment depriving political rights;


(7) Have full capacity for civil conduct.


Article 25 If the president, vice presidents, or secretary general of this organization exceed the maximum age, they must be voted through by the council, reviewed by the competent business department, and approved by the social organization registration authority before taking office.


Article 26 The term of office for the president, vice presidents, and secretary general of this organization is 5 years, with a maximum of two terms. If the term needs to be extended due to special circumstances, it must be voted through by more than 2/3 of the member representatives at the membership congress, reviewed by the competent business department, and approved by the social organization registration authority before taking office.


Article 27 The president of this organization is the legal representative, who signs important documents on behalf of this organization.


With the president's authorization, council's approval, and after review by the competent business department and approval by the registration authority, a vice president or the secretary general may serve as the legal representative.


The legal representative of this organization shall not concurrently serve as the legal representative of other organizations.


Article 28 The president of this organization exercises the following functions and powers:


(1) Convene and preside over the council and standing council;


(2) Check the implementation of resolutions of the membership congress, council, and standing council.


Article 29 The secretary general of this organization exercises the following functions and powers:


(1) Preside over the daily work of the administrative office and implement the annual work plan;


(2) Coordinate the work of branches, representative offices, and entities;


(3) Nominate deputy secretaries general and principal leaders of various administrative offices, branches, representative offices, and entities, to be decided by the council or standing council;


(4) Decide on the employment of full-time staff in administrative offices, representative offices, and entities;


(5) Handle other daily affairs.


Chapter V Asset Management and Usage Principles


Article 30 The sources of funds for this organization:


(1) Membership fees;


(2) Donations;


(3) Government funding;


(4) Income from activities or services within the approved business scope;


(5) Interest;


(6) Other legal income.


Article 31 This organization collects membership fees in accordance with relevant national regulations.


Article 32 The funds of this organization must be used for the business scope and development of the cause stipulated in this constitution, and shall not be distributed among members.


Article 33 This organization establishes a strict financial management system to ensure that accounting materials are legal, true, accurate, and complete.


Article 34 This organization shall employ accounting personnel with professional qualifications. Accountants shall not concurrently serve as cashiers. Accounting personnel must conduct accounting calculations and implement accounting supervision. When accounting personnel are transferred or leave their positions, they must complete the handover procedures with the taking-over personnel.


Article 35 The asset management of this organization must implement the financial management system stipulated by the state and accept supervision from the membership congress and financial departments. Assets from state funding or social donations and funding must accept supervision from the audit authority, and relevant information shall be published to the public in an appropriate manner.


Article 36 This organization must undergo financial audit organized by the social organization registration authority and competent business department before leadership transition or change of legal representative.


Article 37 The assets of this organization shall not be occupied, privately divided, or misappropriated by any unit or individual.


Article 38 The salary, insurance, and welfare benefits of full-time staff of this organization shall be implemented with reference to relevant state regulations for public institutions.
